Please read these Terms and Conditions of Use (“Terms”) carefully before using the services provided by ZERO CHATS INTELLIGENCE - FZCO, located at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates, with official contact at contacto@zerochats.com (hereinafter, “TopClosers”, “we” or “our”).
These Terms constitute a legally binding agreement between you (“the user” or “you”) and TopClosers. By accessing, registering, or using any of our services, you agree to be legally bound by these Terms. If you do not agree with them, you must not access or use the services.
1. DEFINITION OF SERVICES
TopClosers offers an AI-based SaaS platform that analyzes an organization's recorded sales calls and scores them against the organization's own sales manual, producing scores, per-phase feedback, key moments, and performance reports for the sales team.
For the purposes of these Terms, the term “Services” includes:
- The website https://topclosers.ai,
- The platform's web functionalities,
- Integrations with third-party call-recording providers (such as Fathom) and CRM providers (such as GoHighLevel), performed through their official APIs,
- Any content, software, features, or tools offered,
- Any electronic communication sent by TopClosers.
Access to certain features may be subject to a paid subscription, as stipulated in the Payments and Refunds section.
2. ACCEPTANCE OF THE TERMS
2.1. By registering on the platform or using any part of the Services, you represent that you have read, understood, and accepted these Terms.
2.2. You also agree to our Privacy Policy, which is expressly incorporated into these Terms by reference. If you do not agree with any of these provisions, do not use our Services.
2.3. TopClosers may modify these Terms at any time. We will notify you of any material changes via email or a notice within the platform. Continued use of the Services after such modifications implies your acceptance.
3. MINIMUM AGE AND ELIGIBILITY
3.1. To use TopClosers, you must be at least 16 years of age.
3.2. If you reside in a jurisdiction where the legal age of majority is higher, you represent that you have authorization from your legal representative to use these Services.
3.3. TopClosers reserves the right to suspend or delete any account if it has reason to believe it was created by a minor or in violation of these Terms.
4. IMPORTANT NOTICES AND SERVICE LIMITATIONS
TopClosers uses artificial intelligence systems to transcribe, analyze, and score recorded sales calls. The scores, feedback, and recommendations generated by the platform are automated, may vary in tone, content, or accuracy, and are subject to the current technological limitations of artificial intelligence.
You acknowledge and agree that:
- AI-generated analysis and coaching do not constitute an employment evaluation, a professional recommendation, or personalized business or legal advice.
- Scores are a support tool: they must not be the sole basis for employment, disciplinary, or compensation decisions regarding members of your team. You are solely responsible for the decisions you make based on them.
- The quality of the analysis depends on the sales manual you define, the quality of the recording, and the transcript received from the third-party provider.
- TopClosers does not guarantee specific results regarding sales, closing rates, or business performance.
- TopClosers integrates with third-party providers — such as Fathom (call recording), GoHighLevel (CRM), and Stripe (payments) — through their official APIs. However, it is not affiliated with, sponsored, or endorsed by any of them.
- Any changes in usage policies, technical limitations, outages, or temporary blocks imposed by those providers could affect the operation of the Services beyond TopClosers' control.
- The TopClosers website may contain links to third-party resources, articles, or tools. These are provided for informational reference only. We do not control or guarantee the availability, accuracy, or security of these external sites.
5. USER REGISTRATION AND ACCOUNT SECURITY
To use the TopClosers Services, you must register and create a user account on our website. During the registration process, you will be asked for accurate and current information.
Access is passwordless: it works through single-use links sent to your email address. You are solely responsible for maintaining the confidentiality of your email account and of those links. If you suspect that someone has accessed your account without authorization, you must notify contacto@zerochats.com immediately.
By providing your contact details to TopClosers, you expressly agree and authorize us to contact you by phone or message for the purpose of providing commercial information, support, follow-up, or assistance related to the Services.
The user who creates the organization (the “owner”) is responsible for the members they invite and for those members' use of the platform, as well as for the accuracy of the information and the sales manual they upload.
TopClosers reserves the right to suspend or remove your access to the Services if suspicious, illegal, or Terms-violating activity is detected.
6. INTELLECTUAL PROPERTY, RECORDINGS, AND DATA USE
All content on the TopClosers platform is the exclusive property of ZERO CHATS INTELLIGENCE - FZCO or its licensors. You may not copy, distribute, modify, or reverse engineer the software.
TopClosers grants a personal, limited, and non-transferable license to access the Services solely for legitimate business purposes related to your organization.
By connecting your integrations, you authorize access to and storage of the data necessary to provide the service: call recordings and transcripts, participants, email addresses, appointments, opportunities, deal amounts, and your team members' data. This data is used only to provide and personalize the Services within your organization.
You represent and warrant that you have the legal basis and the consents required — from both your team members and the people they speak with — to record those calls and to process them through the Services, in accordance with the regulations applicable in your jurisdiction. TopClosers acts as a data processor on behalf of your organization; you are the data controller.
Your sales manual, your recordings, and your business data remain yours. You may request deletion of your account, your organization, and all associated data at any time, in accordance with our Privacy Policy.
7. PAYMENTS, RENEWALS, AND REFUNDS
TopClosers offers subscription plans. Charges will be made automatically via Stripe unless the user cancels in advance.
Payments are processed by Stripe and made securely. The user agrees that the subscription renews automatically unless it is manually canceled before the next period.
The features available depend on the plan contracted by the organization's owner. The absence of an active plan may limit features such as call ingestion or AI analysis.
Purchases are non-refundable, except where required by law or due to a technical error attributable to the platform. Requests must be sent to contacto@zerochats.com.
Users in the European Union may withdraw from the contract within the first 14 days provided they have not begun using the paid features.
8. RULES OF CONDUCT AND PERMITTED USE
The following are prohibited:
- Uploading or processing recordings obtained without the legally required consent of the participants.
- Using TopClosers to unlawfully monitor, profile, or discriminate against employees, collaborators, or customers.
- Uploading sexual, violent, discriminatory, or illegal content, or sales manuals that promote deceptive or fraudulent practices.
- Scraping, reverse engineering, or replicating the software, or attempting to extract the platform's models or prompts.
- Sharing credentials or access links with third parties outside your organization.
- Interfering with the security, operation, or availability of the service.
You are solely responsible for the content you upload and for how you use the AI-generated feedback. Misuse may result in immediate suspension without refund.
9. INDEMNIFICATION, WARRANTY DISCLAIMER, AND LIMITATION OF LIABILITY
You agree to indemnify TopClosers against any claim arising from misuse of the service, from the recordings you process, or from the decisions you make based on the automated analysis.
The Services are provided "as is," without warranties of uninterrupted operation, accuracy, or specific results.
TopClosers' liability is limited, in any case, to the total amount paid by the user in the last 12 months or $50 USD, whichever is lower.
10. INTERNATIONAL USE, APPLICABLE LAW, AND DISPUTE RESOLUTION
TopClosers operates under the laws of the United Arab Emirates, with venue in Dubai. If you reside outside the U.A.E., you are responsible for complying with local laws, including those governing call recording and data protection.
Any dispute will preferably be resolved amicably. Otherwise:
- Users outside the EU: binding arbitration in Dubai, United Arab Emirates.
- Users in the EU: may go to courts in their country and/or use the ODR platform: https://ec.europa.eu/odr
11. MISCELLANEOUS AND CONTACT
These Terms constitute the entire agreement between you and TopClosers. If any clause is deemed invalid, the remaining provisions will remain in force.
TopClosers may assign this agreement to another entity without prior notice. All communications will be considered electronic and binding.
